1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Merchant", "you") and EcomNexusHub ("Company", "we", "us", "our"), regarding your access to and use of the website at ecomnexushub.com, associated subdomains, API connectors, CSV ingestion pipelines, and related software-as-a-service compliance utilities (collectively, the "Service").

By creating an account, initiating an automated channel sync (Shopify, Amazon, WooCommerce, Stripe, Etsy, etc.), uploading sales data, or clicking "Sign In" or "Upgrade", you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Scope & Nature of Services

EcomNexusHub provides automated omnichannel economic nexus exposure monitoring, tracking gross revenue and transaction counts across 50 US states, isolating marketplace-facilitated transactions from direct merchant sales, and projecting proximity to statutory state thresholds under post-Wayfair economic nexus laws.

The Service operates on a lightweight delta ingestion architecture: we evaluate historical order data and summarize state totals, enabling merchants to identify when statutory limits are approached or breached.

4. Zero-PII Processing & Data Ingestion

We adhere strictly to our Zero Personally Identifiable Information ("Zero-PII") architectural commitment. When sales orders are ingested through API connections or CSV uploads:

• Customer names, physical street addresses, phone numbers, and payment card numbers are scrubbed or excluded at the ingestion boundary.
• Only non-PII operational fields necessary for economic nexus computation (Destination State Code, Order Timestamp, Gross Order Value, and Channel Identifier) are stored.
• Store API tokens and authentication credentials are encrypted using industry-standard AES-256 encryption.

5. Subscriptions, Renewals & Billing

EcomNexusHub offers tiered subscription plans (Free, Starter, Professional, and Enterprise) billed on a recurring monthly or annual basis:

• Order Volume Tiers: Each plan level includes a defined monthly order ingestion quota (e.g. 200 orders/mo on Free, 1,000 on Starter, 5,000 on Pro, and 50,000 on Enterprise).
• Annual Billing & 20% Discount: Subscribing to an annual plan provides a 20% discount compared to standard monthly pricing. Annual subscriptions are prepaid in full for a 12-month period.
• Automatic Renewal: All paid subscriptions automatically renew at the end of each billing cycle (monthly or yearly) using the payment method on file in Stripe unless canceled before the renewal date.
• Payment Processing: Payments are processed securely via Stripe. We do not store or process raw credit card numbers on our servers.

6. Cancellation & Refunds

We believe in complete merchant autonomy:

• Self-Service Cancellation: You may cancel or downgrade your subscription at any time directly within the application through the Subscription & Billing Center or via your self-service Stripe Customer Portal.
• Zero Cancellation Penalties: There are no long-term contracts or cancellation fees. Following cancellation, your paid subscription remains active until the conclusion of the current prepaid billing period, after which your account automatically reverts to the Free Tier.
• Refund Policy: Because of the immediate computational resource consumption of historical 12-month data parsing, fees paid are non-refundable except where required by applicable consumer protection laws or in cases of demonstrable technical service failure verified by our support team.

7. Merchant Account Responsibilities

As a user of the Service, you agree that:

• You have full authority and legal right to connect the ecommerce stores and upload the sales records you provide.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You will not reverse engineer, decompile, scrape, or perform security probes against the EcomNexusHub platform without written authorization.
• You will not use the platform for unlawful, fraudulent, or malicious compliance activities.

8. Proprietary Rights & IP

The Service, including our proprietary economic nexus calculation engine, state statutory matrix algorithms, user interfaces, branding, software code, and educational content, is owned exclusively by EcomNexusHub and protected by copyright, trademark, and intellectual property laws.

You retain all rights, title, and ownership of your underlying merchant sales figures and store information. You grant us a limited, revocable license solely to process and display this data for your account.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECOMNEXUSHUB AND ITS OFFICERS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Tax penalties, interest charges, or retroactive state assessments levied by state or local taxing authorities.
• Loss of profits, revenue, merchant goodwill, or business opportunity.
• Errors resulting from incomplete or inaccurate CSV exports, API rate limits, or upstream platform downtime (e.g. Shopify, Amazon, Stripe).

In no event shall our total aggregate liability exceed the total amounts actually paid by you to EcomNexusHub in the twelve (12) months preceding the event giving rise to liability.

10. Modifications & Governing Law

We reserve the right to modify these Terms periodically to reflect changes in our Service, statutory tax rules, or legal standards. If we make material modifications, we will update the "Last Updated" date and notify active merchants through email or in-app notification.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
